Potrise is a product of Vimble, Inc. ("Potrise," "we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

If you access the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Potrise provides technology and administrative services that allow users to access investment opportunities and related financial services.

Potrise may work with custodians, payment processors, banking partners, identity verification providers, broker-dealers, administrators, and other third-party service providers to facilitate the Services.

Potrise reserves the right to modify, suspend, or discontinue any part of the Services at any time.

To use certain features of the Services, you must create an account and provide accurate, complete, and current information.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POTRISE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Potrise does not guarantee uninterrupted access to the Services or the accuracy of third-party information.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POTRISE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

POTRISE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• (a) $100; or
• (b) the total fees paid by you to Potrise during the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply.

15. Indemnification

You agree to indemnify, defend, and hold harmless Potrise, Vimble, Inc., their affiliates, officers, directors, employees, and partners from claims, losses, liabilities, expenses, and damages arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of any third-party rights

16. Suspension and Termination

Potrise may suspend, restrict, or terminate your account at any time if:

• Required by law
• Required by a financial partner
• We suspect fraud or unauthorized activity
• You violate these Terms

Termination does not affect obligations that accrued before termination.

17. Changes to These Terms

We may modify these Terms from time to time.

Updated Terms become effective upon posting or as otherwise communicated.

Your continued use of the Services constitutes acceptance of the revised Terms.

18. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration, except where prohibited by law.

The arbitration shall take place in the United States and be administered under the applicable rules of the American Arbitration Association.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.

Potrise's failure to enforce any provision shall not constitute a waiver.

You may not assign your rights under these Terms without our prior written consent.

Potrise may assign its rights and obligations without restriction.
