Electronic Communications Consent

This Electronic Communications Consent (“Consent”) explains how Potrise, Inc. (“Potrise,” “we,” “us,” or “our”) may provide notices, disclosures, agreements, records, and other communications to you electronically.

By creating a Potrise account, using the Potrise platform, or agreeing to this Consent, you consent to receiving communications and records electronically as described below.

1. Electronic Delivery

You agree that Potrise may provide communications, disclosures, and records to you electronically instead of in paper form, to the extent permitted by applicable law.

Electronic communications may include:

  • Account notices and confirmations
  • Investment and transaction confirmations
  • Offering-related documents and disclosures
  • Agreements and amendments
  • Risk disclosures
  • Fee disclosures
  • Payment, funding, and distribution notices
  • Tax documents and statements, where permitted
  • Privacy and legal notices
  • Verification and compliance communications
  • Changes to Potrise policies or terms
  • Other communications related to your account, investments, or use of Potrise

These communications may be provided through the Potrise app or website, by email, through downloadable electronic documents, or through another electronic method permitted by law.

2. Electronic Signatures

You agree that your electronic signature, including checking a box, selecting an “Agree,” “Confirm,” “Invest,” or similar button, or otherwise electronically indicating your consent, may have the same legal effect as a handwritten signature where permitted by applicable law.

You agree that agreements and transactions completed electronically may be legally binding.

3. Hardware and Software Requirements

To receive and retain electronic communications, you should have:

  • A device capable of accessing the internet
  • A current web browser or the Potrise mobile application
  • A valid email address
  • Software capable of viewing PDF documents
  • Sufficient electronic storage or the ability to print or save documents

You are responsible for maintaining access to the technology necessary to receive electronic communications.

4. Keeping Your Information Current

You are responsible for keeping your email address, phone number, and other contact information associated with your Potrise account accurate and current.

You can update your information through your Potrise account or by contacting Potrise support.

5. Paper Copies

You may download or print electronic communications for your records.

Where required by law, you may also request a paper copy of certain communications by contacting Potrise. A reasonable fee may apply if permitted by law and disclosed to you before the paper copy is provided.

6. Withdrawing Your Consent

You may withdraw your consent to receive electronic communications where permitted by applicable law by contacting Potrise.

Withdrawal of your consent will not affect the legal validity or enforceability of electronic communications, agreements, signatures, or transactions provided or completed before your withdrawal became effective.

Because Potrise is an online investment platform, withdrawing consent to electronic communications may affect our ability to provide certain services to you and may result in limitations on your ability to use certain features of the platform.

7. Changes to This Consent

We may update this Consent from time to time.

If we make material changes, we will provide notice as required by applicable law. Your continued use of Potrise after an updated Consent becomes effective may constitute acceptance of the updated terms where permitted by law.

8. Consent

By selecting the applicable checkbox or otherwise indicating your agreement electronically, you confirm that:

  1. You have read and understand this Electronic Communications Consent.
  2. You consent to receiving communications and records electronically.
  3. You have access to the hardware and software necessary to receive, view, save, and print electronic communications.
  4. You consent to the use of electronic signatures and electronic records where permitted by applicable law.
